The GmbH is the most common legal form for companies in Germany. It offers limited liability, flexibility in governance, and is well-regarded by banks, clients and authorities. However, the process of setting up a GmbH includes several legal and tax steps:
- Company name check and coordination with the local chamber of commerce
- Notarization of the Articles of Association and shareholder resolution
- Opening a bank account and depositing share capital (minimum EUR 25,000)
- Entry into the commercial register (Handelsregister)
- Obtaining a tax number and VAT ID
- Registration as employer (if hiring staff)
- Providing a valid business address in Germany (Zustelladresse)

Business Address and Representation
A valid business address in Germany is required for the registration and for all official correspondence with German tax authorities. It’s also possible to appoint a managing director (Geschäftsführer) who resides outside of Germany, as long as the company maintains proper representation and address within the country.
